Professional Biography

Jenni Tauzel focuses her practice on corporate law, mergers and acquisitions and securities matters.  Mrs. Tauzel has considerable experience drafting corporate governance documents, including audit committee charters and corporate governance guidelines, opinions and agreements, assisting in the formation of corporate entities, including closely held corporations, limited partnerships and limited liability corporations as well as conducting due diligence, forming limited partnerships, corporations and limited liability companies.  Her work also extends to most aspects of reviewing periodic reports and other filings for SEC rules and regulations including annual reports, proxy statements and private placement registrations.

Mrs. Tauzel is licensed in Texas, having graduated from Southern Methodist University Dedman School of Law where she was a member of the Phi Delta Phi International Fraternity and acted as Business Manager for the International Law Review.  She was also the Student  Director of one of the moot court competitions.  Ms. Tauzel has a M.S. in Accounting and a B.B.A. in Financial Consulting from SMU.  Her professional memberships include the State Bar of Texas and the American Bar Association.

  • Assisted in representation of private equity company in $2.1 billion acquisition of branded food company
  • Assisted in representation of private equity company in $100 million acquisition of food services and private label company 
  • Assisted in representation of a private equity company in a $100 million acquisition of a beverage company
  • Assisted in formation of $500 million private equity fund
  • Assisted in the $2 billion merger of two real estate corporations
  • Assisted in initial public offering of master limited partnership units of $380 million for a Houston-based midstream oil and gas company
  • Assisted in a follow-on offering of limited partner interests of $93 million for Houston-based midstream energy company
  • Assisted in a public debt offering of $500 million for a Dallas-based energy company
  • Assisted in the formation and private offering of $105 million for master limited partnership interests for a Dallas-based mid-stream energy company
  • Assisted in reorganization of family limited partnership and closely held corporation
  • Drafted long-term incentive plan for management team, including management stock options and phantom stock awards
  • Represented closely held corporation for 3 years in various oil and gas, real estate and private equity ventures including assisting in
    - the formation of investor group for acquisition and financing of  purchase of 144 acres of undeveloped
      real estate 
    - the representation of a private company working towards the acquisition of worth $70 million telecom
      equipment   
    - the purchasing of $1 million dirt work and pad site prep company
