Members of the Hospitality Group provide legal counsel to the hospitality industry on a wide range of matters including complex disputes involving cutting-edge legal issues. The firm represents clients in the hotel and resort industry (including luxury golf courses), sports entertainment industry (professional sports franchises, professional sports arenas, concert promoters, premier ice skating rinks and NASCAR and Indy Racing motor speedways), amusement park manufacturers, golf courses, country clubs, charitable games industry and restaurant (from fine dining to quick serve) and beverage industries, providing both transactional counsel and assistance on litigation matters. Those matters include the acquisition and disposition of hotels, alcoholic beverage issues, construction, encroachment, intra-brand competition and area of protection issues, trademark infringement, franchise and disclosure matters, labor and employment, lease documentation and collection, hotel management and corporate governance agreements, purchasing agreements, bankruptcy, insurance coverage and personal injury issues. Our attorneys have considerable experience representing clients before the Texas Lottery Commission and the Texas Alcohol and Beverage Commission.
Our hospitality attorneys regularly attend industry conferences including the Annual Hospitality Law Conference, ALIS Conference, NYU Conference and Lodging Conference. - Bankruptcy - Our attorneys advise our clients on workouts, recapitalizations and restructuring of hotel loans, management and franchise agreements as well as bankruptcy, special litigation counsel in adversary proceedings and receivership disputes.
- Construction, Environmental Law - We provide counsel on multi-million dollars deals during the pre-acquisition, construction and post-construction phases of property transactions and help structure effective responses to environmental problems including enforcement actions.
- Corporate, Mergers & Acquisitions - The Group represents owners, franchisees and franchisors, operators, third-party management companies and Real Estate Investment Trusts (REITs), on operational and mismanagement issues, mergers and acquisitions, loans, due diligence, reviewing and drafting of corporate governing documents as well as hotel management, franchise and joint venture agreements and alcohol beverage licensing issues.
- Labor & Employment - We provide counsel on matters involving discrimination and harassment, wage and hour, union-management relations, employment policies, medical accommodation and leave rights, employment agreements, severance agreements, executive compensation, privacy, noncompetition, health and safety and whistle blower issues.
- Litigation, Appellate - Our Group includes seasoned courtroom attorneys who’ve handled various hotel disputes including commercial mortgage backed securities (CMBS) litigation involving CMBS lender, master servicer, special servicer and third-parties, franchises, price gouging, hotel condominium, lender-borrower and complex partnership disputes. Our attorneys have regularly represented clients and their insurance companies on premises liability actions. We also have substantial experience in the prosecution and defense of claims for construction defects, design deficiencies, change orders, delay damages, payment issues, mechanics liens, surety bonds and other aspects of a construction project. Our appellate attorneys handle cases in all state and federal appellate courts.
